These Referral Program Terms (the "Terms") govern participation in the Decentralized Masters ("DM") referral program (the "Program"). By participating in the Program, you agree to these Terms.
1. Program period
The Program runs through December 31, 2026. DM may modify, pause, or end the Program and adjust reward rates at any time. The current 30% referrer reward is scheduled to step down after December 31, 2026.
2. Eligibility
Participation is open to active DM members in good standing. DM employees and contractors may not participate under this Program.
3. Personal, non-commercial referrals only
The Program is for personal introductions to people you genuinely know. It is not for advertising, paid media, mass-marketing, search or keyword bidding, social or public promotion to an audience, or any other commercial or public promotion. Any member who wishes to promote DM to an audience may do so only under DM's separate Affiliate Program, which has its own terms and reward rates.
4. Valid referral
A valid referral is a person who is new to DM, meaning not already a member, a lead, or someone DM is already in contact with, whom you personally introduce, and who then joins as a new high ticket member. You may not refer yourself or use fake, duplicate, or incentivized accounts.
5. Qualifying purchase
A reward is earned only on the referred person's initial purchase as a new member of a qualifying high-ticket DM program. Newsletter subscriptions, low-ticket products, renewals, and upgrades do not qualify. One reward is earned per valid new member.
6. Reward amount
The reward is 30% of the initial amount actually collected by DM from the referred person within their first 60 days in the Program. For payment plans or partial payments, the reward is calculated only on amounts actually collected within those 60 days, and not on amounts the total program costs invoiced, financed, or not yet collected.
The applicable rate is the rate in effect on the date the referred person's qualifying purchase is completed, regardless of the date the referral was submitted. For example, if a referral is submitted before December 31, 2026 but the referred person completes their purchase after that date, the rate in effect on the purchase date applies, including any step-down described in Sections 1 and 16.
7. Payment
Rewards are paid after the referred person has been an enrolled member for 60 days. Payment is made by wire transfer or cryptocurrency.
8. Reversals and clawback
If a referred purchase is refunded, charged back, or cancelled, if the referred member leaves within the qualifying period, or if a referral is later found to be invalid, the related reward is forfeited and, if already paid, may be deducted from future rewards or otherwise recovered.
9. Compliance, required disclosures, and no income, returns, or results claims
(a) Approved messaging. You must use DM's approved referral messaging when making referrals and must not alter it in a way that removes, obscures, or contradicts any disclosure.
(b) Disclosure of your relationship with DM. If you make any independent recommendation or statement about DM, you must clearly and conspicuously disclose your relationship with DM and that you may receive compensation if the referred person joins.
(c) Compliance with law. You represent and agree that you will comply with all laws and regulations applicable to your referral activity, including advertising, endorsement and disclosure, marketing, email, text message, and telemarketing laws, and that you will not send bulk, mass, or unsolicited promotional messages.
(d) No income, returns, or results claims. When referring, you must not promise or imply any returns, profits, income, or guaranteed results, and you must not make any false or misleading statements about DM, its programs, the Program, or crypto or other investments. You are prohibited from discussing the Program publicly (subject to Section 3).
(e) Consequences. A material violation of this Section 9 may result in disqualification of the affected referrals, forfeiture of rewards, and removal from the Program under Section 15.
10. Prohibited conduct
The following are prohibited and may result in disqualification: self-referrals; fake, duplicate, or purchased accounts or referrals; spam; bulk or mass promotional messages; paid advertising; bidding on or using DM's trademarks, brand names, or similar keywords; public or audience promotion; presenting yourself as DM or a DM employee, agent, or representative; misrepresentation; failing to use approved referral messaging or to disclose your relationship with DM as required by Section 9; and any attempt to manipulate or game the Program.
11. Taxes
You are responsible for any taxes owed on rewards. Rewards are income to you regardless of the form of payment, including wire transfer or cryptocurrency.
12. No guaranteed earnings
Participation does not guarantee any earnings. DM makes no representation regarding income you may earn or investment results of any kind.
13. Independent relationship
You participate as an independent member, not as an employee, agent, partner, or representative of DM. You have no authority to bind DM, make commitments on its behalf, or speak for DM.
14. Indemnification
You agree to indemnify and hold harmless DM and its affiliates, officers, directors, and employees from and against any third-party claims, and related losses, liabilities, damages, and reasonable costs (including reasonable attorneys' fees), arising out of your unauthorized promotion of DM or the Program, your misrepresentations or false or misleading statements, or your violation of these Terms or applicable law in connection with the Program.
15. DM's discretion
DM determines, in its sole discretion, whether a referral is valid and whether these Terms have been met. DM may disqualify referrals, withhold or reverse rewards, and suspend or remove participants for any violation or suspected abuse. DM's determinations are final.
16. Changes and termination
DM may modify, suspend, or terminate the Program or these Terms at any time, including adjusting reward rates such as the scheduled year-end step-down. Valid referrals whose qualifying purchase is completed before a change takes effect will be honored at the rate in effect on the purchase date, as described in Section 6. Your continued participation after a change constitutes acceptance of the updated Terms.
17. Privacy
Information about referred persons is handled in accordance with DM's Privacy Policy. You should only introduce people who are comfortable being contacted by DM. DM contacts a referred person only after they voluntarily submit their information and schedule a call through the referral link.
18. General
These Terms are governed by the laws of [state], are incorporated into and form part of DM's Terms of Service, and are void where prohibited. If any provision is held unenforceable, the remainder of the Terms remains in effect. These Terms constitute the entire agreement regarding the Program.
By participating in the Program, you acknowledge that you have read and agree to these Terms.
